Welcome to Neoistone. These Terms and Conditions govern your access to and use of neoistone.com, our services, and any related transactions.

By accessing our website, requesting a quotation, placing an order, or purchasing a service from us, you agree to these Terms and Conditions. If you do not agree, please discontinue using the relevant services.

1. Company Information

This website is operated by Neoistone Technologies LLP, a limited liability partnership registered in India.

In these Terms and Conditions, “Neoistone,” “we,” “us,” and “our” refer to Neoistone Technologies LLP. “Customer,” “you,” and “your” refer to any individual or organization accessing our website or purchasing our services.

2. Services Offered

Neoistone provides technology and digital services, which may include:

The availability, scope, specifications, and delivery timelines of a service will depend on the relevant service description, quotation, proposal, order confirmation, or written agreement.

3. Eligibility and Customer Responsibilities

By using our services, you confirm that:

  1. You are legally capable of entering into a binding agreement.

  2. The information you provide to us is accurate and complete.

  3. If you act on behalf of a business or another organization, you are authorized to do so.

  4. You will use our services in compliance with applicable laws.

  5. You will not use our services for fraud, unlawful activities, unauthorized access, malicious software distribution, or infringement of third-party rights.

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account, except where applicable law provides otherwise.

4. Orders, Quotations and Service Agreements

Customers may request quotations or proposals before purchasing services.

A quotation or proposal may specify the project scope, deliverables, fees, milestones, payment schedule, revisions, maintenance arrangements, and estimated delivery dates.

An order will be considered accepted when Neoistone confirms the order in writing, issues an invoice or payment request, or otherwise confirms acceptance through an agreed ordering process.

Any project-specific agreement signed or expressly accepted by both parties will govern the relevant project. If a project-specific agreement conflicts with these Terms and Conditions, the project-specific agreement will prevail for that project to the extent of the conflict.

Changes to an approved project scope may affect the price, resources, and delivery schedule. Additional work may require a revised quotation or written approval.

5. Pricing and Taxes

All prices will be communicated through the applicable service page, quotation, proposal, invoice, or order confirmation.

Unless expressly stated otherwise:

The amount payable will be the amount specified in the applicable order or invoice, subject to agreed changes and applicable taxes.

6. Payments and Payment Processing

Payments for eligible Neoistone services may be accepted through the payment methods displayed during checkout or communicated in an official invoice or payment request.

Depending on the transaction, available methods may include UPI, debit cards, credit cards, net banking, or other supported payment methods.

6.1 Payment Authorization

By submitting a payment, you authorize the applicable payment service provider to process the transaction for the amount displayed or otherwise agreed.

Payments may be processed through third-party payment gateways. Their processing, security checks, and transaction procedures may be subject to their respective terms and policies.

6.2 Payment Confirmation

A payment is considered received by Neoistone when the transaction is successfully confirmed through the relevant payment gateway or otherwise verified by us.

A screenshot, browser redirect, or unverified payment message does not by itself establish successful receipt of payment.

6.3 Failed, Pending or Duplicate Payments

If a payment is pending, fails, or appears to have been debited without order confirmation, please contact us with the transaction reference, payment date, amount, and order details.

Where a duplicate payment is verified, we will review it and process any eligible refund in accordance with our Refund and Cancellation Policy and applicable law.

6.4 Invoices and Receipts

Invoices and payment confirmations will be provided where applicable. Customers must supply accurate billing details, including business information and GST details where relevant.

6.5 No Unauthorized Charges

Neoistone will not knowingly charge a customer for an order that the customer has not authorized, except as permitted by applicable law or an existing agreement.

7. Service Delivery and Timelines

Delivery timelines depend on the service purchased, project complexity, customer requirements, and availability of required resources.

For custom development projects, delivery may depend on the timely provision of content, specifications, credentials, approvals, feedback, and other materials by the customer.

We will make reasonable efforts to meet agreed timelines. If a delay is anticipated, we will communicate material updates to the customer.

Unless expressly agreed in writing, delivery dates are estimates rather than guaranteed deadlines.

8. Customer Cooperation and Project Approvals

Customers are responsible for:

Delays caused by missing information, delayed approvals, scope changes, or third-party dependencies may affect delivery schedules.

9. Cancellation Policy

Cancellation eligibility depends on the nature of the service and the stage of work.

9.1 Before Work Begins

If a customer requests cancellation before work begins, we will review the request and determine the applicable refund, taking into account the service agreement, any disclosed non-refundable charges, work already performed, and applicable law.

9.2 After Work Begins

For custom software development, website development, consulting, design, and other project-based services, cancellation requests will be evaluated based on work completed, resources committed, deliverables supplied, and the applicable agreement.

Any amount retained or refunded will be determined in accordance with the agreed terms and applicable law.

9.3 Third-Party Services

Domain registrations, third-party subscriptions, software licenses, cloud resources, and other external services may have separate cancellation conditions imposed by their providers. We will communicate applicable conditions where relevant.

Nothing in this policy excludes cancellation rights that cannot legally be excluded.

10. Refund Policy

Refund requests must be submitted to [email protected] with the customer's name, order or invoice number, payment reference, amount, and reason for the request.

We will review each request based on the service purchased, the status of delivery, the applicable agreement, and applicable law.

Refunds may be considered in circumstances such as:

A refund may not be available for services already fully delivered or work completed in accordance with an accepted agreement, except where a refund is required by applicable law or the relevant agreement.

Where a refund is approved, it will generally be initiated through the original payment method where supported. The time taken for the funds to appear in the customer's account may depend on the payment gateway, bank, card issuer, or other payment provider.

We will communicate the refund decision and any relevant processing information to the customer.

11. Revisions, Maintenance and Support

The number of revisions, support coverage, maintenance period, and response times for a project will be determined by the applicable quotation, service plan, or written agreement.

Additional revisions, new features, redesigns, changes outside the approved scope, and ongoing maintenance may require separate charges.

Unless included in the purchased service, ongoing maintenance, hosting, technical support, software upgrades, and third-party subscription fees are not automatically included in a project price.

12. Intellectual Property Rights

Unless otherwise agreed in writing:

  1. Neoistone retains ownership of its pre-existing software, internal tools, reusable components, frameworks, methodologies, templates, and proprietary materials.

  2. Customer ownership or licensing rights in custom deliverables will be determined by the applicable project agreement.

  3. Third-party software, libraries, fonts, images, APIs, and other licensed materials remain subject to their respective license terms.

  4. Customers must not reproduce, distribute, resell, or commercially exploit Neoistone's proprietary materials without appropriate authorization.

Where a project agreement provides for transfer of ownership in specified deliverables, that transfer will be governed by the agreement and any applicable payment conditions.

13. Acceptable Use

You must not use our website or services to:

We may investigate suspected misuse and take proportionate action, including restricting access or suspending a service where justified by the circumstances and applicable law.

14. Third-Party Services and Links

Our website or services may integrate with or link to third-party websites, payment gateways, software providers, APIs, cloud providers, and other external services.

These services are operated independently and may have their own terms, privacy policies, availability limits, and charges.

Neoistone is not responsible for independent third-party content or services beyond responsibilities imposed by applicable law or expressly accepted in a written agreement.

15. Confidentiality and Data Protection

We may receive business information, project materials, technical details, account information, and personal data when providing our services.

We will handle such information in accordance with our Privacy Policy and applicable law.

Customers must not submit personal information or confidential materials that they are not authorized to disclose.

Where a project requires specific confidentiality, data-processing, security, or data-retention obligations, those requirements should be documented in the relevant agreement.

16. Service Availability and Changes

We may update our website, service descriptions, features, prices, and service offerings from time to time.

Changes will not remove rights that customers have already acquired under an accepted order or applicable law.

Temporary interruptions may occur due to maintenance, technical issues, security incidents, network failures, or third-party service disruptions. We will make reasonable efforts to address material service interruptions within our control.

17. Warranties and Disclaimers

We will provide services in accordance with the applicable quotation, order, service description, and written agreement.

Unless expressly agreed otherwise, we do not guarantee that every service will be uninterrupted, error-free, or compatible with every third-party platform or system.

We do not guarantee particular business outcomes, revenue, search-engine rankings, application downloads, customer acquisition, or commercial performance unless a specific outcome has been expressly agreed in writing.

Nothing in these Terms and Conditions excludes a warranty, guarantee, or consumer right that cannot legally be excluded under applicable law.

18. Limitation of Liability

To the extent permitted by applicable law, Neoistone will not be liable for indirect or consequential losses that are not reasonably foreseeable, including loss of anticipated profits or business opportunities.

Our liability for a particular service will be determined by applicable law and any valid limitation expressly agreed in the relevant service contract.

Nothing in these Terms and Conditions excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot legally be excluded or limited.

19. Indemnification

To the extent permitted by law, customers are responsible for losses, claims, and reasonable costs arising from their unlawful use of our services, infringement of third-party rights through materials they supplied, or material breach of these Terms and Conditions.

This provision does not apply to the extent a claim results from Neoistone's own breach, negligence, or other conduct for which liability cannot legally be excluded.

20. Suspension and Termination

We may suspend or terminate access to a service where reasonably necessary due to material breach of an agreement, unlawful activity, security risks, non-payment of amounts properly due, or requirements imposed by law.

Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue.

Termination does not remove payment obligations already incurred or rights and remedies that have accrued before termination. Refunds, if any, will be determined under the applicable agreement and law.

21. Privacy Policy

Your use of our website and services is also subject to our Privacy Policy, which explains how personal information is collected, used, stored, and handled.

Please review the Privacy Policy available on our website before submitting personal or business information.
